“The Archival Recording will be used solely for Producer/Artist’s personal study purposes, including submission in connection with applications for grants or scholarships and competitions, and shall not be used for any other purpose or in any other manner whatsoever, whether commercially or otherwise. No phonograph records, compact discs, tapes, digital files, or other copies or forms of sound reproduction of the Archival Recording shall be made or authorized without Carnegie Hall’s prior written consent. Producer/Artist expressly understands and agrees that this restriction is of the essence to this Agreement, and any breach of this restriction by Producer/Artist will result in injury and damage to Carnegie Hall. If this restriction is breached, Producer/Artist will pay Carnegie Hall upon demand a license fee, as liquidated damages and not as a penalty, in the amount of $15,000.00, in addition to any other remedies that are available to Carnegie Hall.”
